1. Contractual Framework
These Terms govern engineering engagements, enterprise advisory sprints, and licensing of the Vext Voice platform provided by Vext Technologies SARL, registered with the Commercial Court of Casablanca under RC 584920.
2. Code Ownership & Intellectual Property
Under Track 01 (Advisory & Engineering Sprints), all bespoke source code, database architectures, and scripts developed specifically for the client become the 100% exclusive intellectual property of the client upon final sprint invoice settlement.
3. Service Level Agreement (SLA)
Production platforms deployed under Vext enterprise operational management are backed by a contractual 99.99% monthly availability SLA, excluding planned maintenance windows communicated 48 hours in advance.
4. Governing Law & Jurisdiction
These terms are governed by the laws of the Kingdom of Morocco. Any dispute that cannot be resolved amicably shall fall under the exclusive jurisdiction of the Commercial Court of Casablanca.
